Jay B. Gould
Mr. Gould practices in the Corporate & Securities area and is
co-leader of Pillsbury Winthrop Shaw Pittman’s Investment
Funds and Investment Management Practice Team. He counsels clients
involved in all aspects of the financial services industry. Mr.
Gould represents U.S. registered investment companies, hedge funds,
offshore investment companies, investment advisers, retail and institutional
broker-dealers, and municipal bond underwriters. Mr. Gould advises
investment companies, investment advisers and broker-dealers on
mergers and acquisitions. He represents hedge funds and private
equity funds with strategies for investing in India, Japan, Eastern
Europe and Africa, distressed debt, activist situations, and other
more traditional strategies.
Additionally, Mr. Gould represents technology companies that are
funded by non-traditional sources, including hedge funds and private
equity funds, and counsels such companies on ownership structuring,
corporate governance, and capital raising matters, among others.
Mr. Gould has extensive experience in structuring investment funds
and drafting private placement memoranda, partnership and limited
liability company agreements, subscription agreements, registration
statements, proxy statements, periodic reports, no-action letters,
applications for exemptive relief and other documents for filing
with the SEC, the NASD, and other regulatory agencies. He also provides
counsel on matters involving corporate governance and Sarbanes-Oxley
compliance; mortgage securitizations and sales; collateralized debt
offers; joint ventures and strategic relations; and retail, institutional
and offshore securities distribution strategies and regulatory considerations.
Michael Scott
For many years, Professor Scott was a lawyer and an educator. As a partner
in the law firm of Perkins Coie LLP, Professor Scott's areas of practice
included intellectual property law, domestic and international licensing,
technology law, and litigation for all types of businesses, from tech
start-ups to Fortune 500 companies. With over 30 years of legal experience
representing high-technology clients and an extensive background in computer
technology, he is a pioneer in the field of high-technology law and public
policy. He has also authored some of the most widely used publications on
technology law, including Scott on Information Technology Law (in its third
edition with Aspen Publishers - previously called "Scott on Computer Law"),
Scott on Multimedia Law (in its second edition with Aspen Publishers), and
Scott on Outsourcing Law & Practice. In total, he is the author of seven
books on intellectual property, computer, multimedia, internet, and
telecommunications law, and has published and presented hundreds of papers
on related topics at symposia around the world. A member of the board of
editors of the UCLA-ALASKA LAW REVIEW during law school, Professor Scott
is currently editor-in-chief of two monthly newsletters - THE CYBERSPACE
LAWYER and THE E-COMMERCE LAW REPORT. He also serves as co-chair of the
California State Bar's Intellectual Property Section, Computer/Internet
Roundtable.
Professor Scott is now a full-time professor at Southwestern Law School
in Los Angeles, CA, where he teaches many courses in information technology
(IT) law, information privacy law, patent law, and other areas. A former
member of Southwestern's adjunct faculty whose affiliation with the law
school dates back to 1976, he joined the full-time faculty in 2003.
Professor Scott feels strongly that "it is extremely important to help
law students become truly conversant in those areas of technology, law,
business and public policy they will need to be effective leaders of
the 21st Century."
Martin P. Waterman

He has over 25 years experience in venture capital specializing in helping young companies to become global, sustainable enterprises. Bill Kunkel
Bill Kunkel is the editor-in-chief of Tips & Tricks magazine.
He is known as the grandfather of American game journalizm and has been
a professional comic book writer for DC and Marvel. He has been a
journalist covering gaming since 1978. He has written on electronic
gaming for many publications including the New York Times and Games
Magazine and has appeared on television globally. Bill has authored
numerous books on game strategies and been involved in the design of
numerous popular games. He has taught game design for Universities
and is considered an expert in the field.
David Traub
David Traub has a background in new media. He speaks globally
on the subject and has been a keynote speaker for the Consumer Electronics
Show and MacWorld among others. He has produced games for a variety
of entertainment industry clients. He has a Masters in Education
from Harvard with focus on Interactive/Immersive Technologies in
service to optimizing human capital/social and emotional learning.
Some of his clients have included Apple, Capital-EMI, Microsoft,
MTV Networks/Viacom, The Rolling Stones, U2 & the Republic of
China.
Dr.Charles Parks Ph.D. J.D.
Dr. Parks is considered an International Adviser and has
extensive contacts throughout the world in the trade and finance
industry. He is currently the Executive Chairman of I.B.A. (International
Bank of Australasia), and founder of both I.M.F. Global and O.W.F.
(One World Foundation). He is President of Louisiana Capital University,
and Representative of the Presidential University in the Ukraine.
Dr. Parks sits on multiple Boards of Directors and is also an advisor
to many companies including KPIP.co.kr and UplusKorea.com, two High-tech
companies founded in South Korea. He is a diplomat of cultural and
trade attaché of PHR Australia. He holds a 9th Degree Grand
master Olympic Sports Korea Tae Kwon do and is the spiritually adopted
son of the Venerable Won Dam Supreme Grandmaster Monk who is a “living
Buddha” and Head of Korean Buddhism. He has been an advisor
of International Investment/Financial firms, and prior to this he
was on the board committee of Foreign Airline & Trust.
